The Civil Court 3 of Roca published today the call to Extraordinary Assembly to regularize the internal functioning of the company Mundo Cristal SRL in Roca.
For weeks there has been a conflict in that company located in Parque Industrial I that also affects the workers.
This Assembly, according to the Law of Commercial Companies, is the legal way to incorporate the heirs of the deceased managing partner into the administration of the company in 2020.
The judge ordered to shorten the legal term for calling the Assembly in response to a request from the Judicial Controller, who highlighted “the urgency and imperative need for the company to be regularized,” plus “the need for it to develop and continue its business line” and “solve labor conflicts” derived from the family and corporate conflict that the LLC is going through.
The Assembly will be held on September 6. The agenda has two precise objectives. The first is formally incorporate the heirs and heirs of the deceased managing partner into the social contract. And the second is the appointment of a new partner or managing partner, who will assume the leadership administration of society, which today is virtually headless.
It should be noted that the second managing partner, who led the company since the death of the other partner, is preventively suspended in the exercise of his rights within the company as a result of the irregularities reported in various legal proceedings.
The Assembly will take place at the headquarters of the Civil Court, where the majority of the group of shareholders must appear on the date agreed. While other shareholders will participate in the Assembly via Zoom, from the offices of the Justice of the Peace, taking into account “the current prohibition measures of approach that were issued in the Family jurisdiction and that protect both members of the majority and minority group” of shareholders.
The judge listed today in her resolution all the people authorized to participate in the Assembly. She pointed out that only these people will be able to participate with “voice and vote”, since it is an internal corporate matter.
Finally, in the resolution issued this Wednesday, the judge ordered that once the Assembly is over, she will consult the group of partners “on the existence of a management plan to face the custody expenses of the company and salaries owed to the staff”. .
