Bern, 21.12.2022 – The Federal Council has approved two proposals from the Swisscom Board of Directors regarding the management of the company. He supports the expansion of the group management as well as the resulting increase in the remuneration ceiling. It also approved the appointment of Monique Bourquin as a new member of the Board of Directors. In addition, the Federal Council has decided on the follow-up to be given to the case of the Confederation’s representative on the Board of Directors of Swisscom AG.
Within the scope of its competences, the Board of Directors of Swisscom has decided that all persons occupying the management functions of the operational divisions and of the divisions of the group will henceforth have the status of member of the executive management of the group. This decision has repercussions on the maximum remuneration of the group management for the year 2023, approved by the General Meeting of 2022. The Federal Council has decided that it will approve, at the General Meeting of 2023, an increase the cap on the remuneration of the group management, which will allow the expansion of the group management to a total of nine members.
The Board of Directors of Swisscom has also proposed to the Federal Council to appoint Monique Bourquin as a new member of the Board of Directors. The Federal Council approved this proposal. Monique Bourquin replaces Barbara Frei, who held this position since 2012.
The Federal Council has also determined the further procedure for appointing the representative of the Confederation to the Swisscom Board of Directors. The current representative is Renzo Simoni. The Federal Council wishes to strengthen the defense of the interests of the Confederation within the Board of Directors of Swisscom. DETEC, in collaboration with the FDF, will propose to the Federal Council by the end of February a new representative of the Confederation in view of the General Assembly in March 2023.
