Taking over for better entrepreneurship in the territories 11 recommendations to support business transfer

The Business Delegation (DAE) of the Senate unanimously adopted, Thursday, October 6, the rapport d’information of the follow-up mission on the business transfer. It takes stock of the developments observed since the adoption of its first report in 2017 and the related bill in June 2018, and formulates 11 recommendations (PDF – 880 KB) to remedy a particularly alarming situation for our economy.

Indeed, 25% of business leaders are over 60and it is estimated that there will be up to 700,000 companies to sell in the next 10 years. The absence of buyers is catastrophic for France: dead loss of know-how, jobs, patents, economic activity, but also weakening in the face of predation by foreign investors or economic dependence weakening our sovereignty.

Promoting business transfer also means enabling SMEs to develop. It takes 21 years on average to become an ETI (intermediate-sized company), of which France is sorely lacking (5,400 once morest 12,500 in Germany or 10,000 in the United Kingdom). Half of ETIs are family businesses, while family transmission represents only between 14 and 20% of disposals, compared to more than 50% in Germany and 60% in Italy. Yet these medium-sized companies play a crucial role for employment, innovation and the recovery of our trade balance.

Around two priorities: SECURING and SIMPLIFYING, the 11 recommendations (PDF – 880 Ko) aim to: sanctuary the “Dutreil Pact”, stabilize the law in force, simplify procedures and mechanisms, secure transmissions, encourage managers to anticipate, better inform to restore confidence to business leaders.

Among the proposed measures are the securing of the notion of leading holding company in the law, an advice check for the transmission offered to managers between 55 and 65 years old, incentive measures for the takeover by employees, or the structuring of the actors of the transmission with referents in each region.

For Serge Babary, “it is time for the Government and the administrations to become aware of the urgency of the situation and for a constructive economic dialogue to be established to better support business leaders, in particular those of VSEs, SMEs and ETIs”.
