The Competition Council authorized the notified operation relating to the proposed economic concentration consisting of the takeover of exclusive indirect control by the company “Sika AG” of the company “LSF11 Skyscraper Holdco sarl” by the acquisition of 100% of the capital and voting rights, subject to certain commitments.
“The operation notified under number 135/إ.ت.ع/2021, consisting of the takeover of exclusive indirect control by the company +Sika AG+ of the company +LSF11 Skyscraper Holdco sarl+ by the acquisition of 100% of the capital and of the related voting rights, is authorized subject to the commitments referred to and appended to this decision”, indicates the Competition Council in decision no. 102 relating to this economic concentration project.
Said decision takes into account in particular the notification file of an economic concentration operation, registered with the General Secretariat of the Council on December 20, 2021 under number 135/إ.ت.ع/2021, consisting of the acquisition of indirect exclusive control by the company “Sika AG” from the company “LSF11 Skyscraper Holdco sarl” by acquiring 100% of the capital of the company and the related voting rights.
This is also Decision No. 53/ق/2022 issued on May 30, 2022 by which the Competition Council decided to initiate an in-depth examination of the notified transaction pursuant to paragraph 3 of paragraph 5 of article 15 of law 104-12 relating to freedom of prices and competition.
The Competition Council, in plenary formation, also took into consideration the commitments offered by the company “Sika AG” in its correspondence registered with the General Secretariat of the Council under number 244/22 dated September 12, 2022.
Decision No. 102 was taken by the Competition Council, dated 2 Rabii I, 1444 (September 29, 2022), during a meeting held in the presence of the Chairman and members of the said Council.
