Lutz Feldmann elected as Chairman of the Supervisory Board after the Annual General Meeting

The Annual General Meeting of OMV approved a total dividend of EUR 5.05 per share for 2022, of which EUR 2.80 per share as a regular dividend and EUR 2.25 per share as a special dividend. In addition, the remuneration report for the Management Board and the Supervisory Board for 2022, the Long Term Incentive Plan 2023 and the Equity Deferral 2023 were approved and a new member of the Supervisory Board was elected.

Today’s general meeting resolved a total dividend of EUR 5.05 per share. Payment date is June 12, 2023. The annual financial statements approved by the Supervisory Board were presented. The members of the Management Board and the Supervisory Board were discharged for their work in the 2022 financial year. The former CEO and General Director Rainer Seele was granted discharge for 2021. KPMG Austria GmbH Wirtschaftsprüfungs- und Steuerberatungsgesellschaft, Vienna, was selected as the auditor and group auditor for the 2023 financial year.

The Annual General Meeting approved the Long Term Incentive Plan 2023, a long-term remuneration instrument for the members of the Board of Management and selected executives, and the Equity Deferral 2023, an integral part of the annual bonus agreement for the members of the Board of Management.

Due to the expiry of Mr. Mark Garrett’s Supervisory Board mandate with effect from the end of the Annual General Meeting on May 31, 2023 and the fact that he was not available for another period, Mr. Lutz Feldmann was elected a new member of the Supervisory Board by the Annual General Meeting.

In addition, Mr. Lutz Feldmann was also elected Chairman of the Supervisory Board in the Supervisory Board meeting that took place after the Annual General Meeting.
