The Organization for the Harmonization of Business Law in Africa (OHADA) has a valuable advantage: that of facilitating the procedure for settling business disputes. Thus, the Uniform Acts relating to the Law of Arbitration of 1999 and that of Mediation of 2017 promote these two alternative methods of dispute resolution (ADR). The revised Uniform Act on the organization of OHADA securities has just celebrated its tenth anniversary!
Ten years marked by the development of private financing in the 17 Member States of OHADA, thanks to the liberalization of assets that can be given as security, the simplification of their implementation, the strengthening of their efficiency and other innovations of the Uniform Act.
The Uniform Act thus clarified the rules applicable to securities, in particular by establishing a system of common law for movable securities which are supplemented, for certain categories of assets, by several specific rules. It then significantly expanded the number of assets that might be offered as collateral (in particular future assets), at the same time as it simplified the rules for providing collateral.
But it is in the area of the effectiveness of sureties that the innovations of the Uniform Act have been the most striking with, in particular, the generalization of judicial attribution and the commissary pact, tempered by protection mechanisms for the debtor.
While OHADA security law has been enriched with new securities, sometimes inspired by foreign regulations (assignment of receivables as collateral, pledge of financial securities account, etc.), it has also established innovative mechanisms including have since been inspired by other legislation (securities agent regime, fiduciary transfer of sums of money, unified regime for the pledge of tangible movables, etc.).
This book provides a comprehensive overview of OHADA securities law by analyzing each of the securities regulated by the Uniform Act, with regard to the case law rendered on the matter by the courts of the Member States over the past ten years, and by comparing them, when useful, with similar mechanisms of foreign law to highlight the strengths of the Uniform Act or to propose remedies for its few remaining weaknesses.
