This generated a “specific context that allowed us to acquire the property under exceptional price and valuation conditions.”

And that following a long negotiation, in which the former owners had other frustrated sales attempts with other interested parties, and given the urgency of liquidity on the part of the former owners, they were able to “reach an agreement for the building only as real estate, at a very low price, which is known and exposed by all. We understand that buying at a low value, within the margins established by law, is allowed.”

In this way, from San Valentino they pointed out that following the rejection of the proposal for a new Constitution and already being owners of the property, “the possibilities of exploitation of the health asset (medical building and intangibles) once once more had the expectation of being exploited for the specific use it has, this is like a health center”. And that the objective of the purchase was “to directly exploit the clinic for our own health project, the purpose for which we were working for a large part of 2022 (with architects, search for potential managers, etc.)”.

It is in this context that the Municipality of Santiago expressed its interest in acquiring the property.

Due to this interest, from the real estate company they commissioned a valuation of fixed assets to obtain a parameter of the value corresponding to a hospital compound and medical consultations, that is, “as a health center (both the medical building and its intangibles), both as a whole, by an expert in this type of assessment in order to have a notion that would serve as a reference if the municipality made progress in its interest in acquiring the health facility or other similar purposes, since this alternative meant giving up our project,” they explained.

They also addressed the price differences between the purchase of San Valentino, “practically tax appraisal”, and the amount of sale to the Municipality. And they explain that this difference was always known by the entire municipality, “including its councilors before the vote in the title studies, which we always sent with total transparency)”.

“We understand that it generates obvious controversy, but this responds to commercial and market reasons marked by the different contexts of each operation,” they said. “We emphatically reject what has been exposed regarding the fact that we had publicly offered the clinic for a much lower value”.

And they clarified that the screenshot “that they have circulated corresponds to a sale publication from April 2021 where the property is offered as land and it is from a date where we were not the owners, and to be clear and categorical we never we have offered the clinic to no one, at any price other than the one we sold to the municipality of Santiago.”

FIRST CONTACTS

Regarding the sale process with the municipality, San Valentino reiterated that they never offered the property and that nor did they have “any type of rapprochement prior to the contact that they initiated with us.”

The first contacts occurred between the last days of September and the first days of October 2022, through Claudia Ortegaan official from Cesfam Padre Orellana, who indicated that the municipality was seeking to acquire health infrastructure and with whom the visits of the municipal authorities would have been coordinated.

The real estate company referred specifically to a visit made on December 5, when Mayor Hassler arrived with a group of regarding 15 people, and that her communications team made public, being recorded on social networks, and “showing the establishment and great enthusiasm for completing this purchase by the municipality, in circumstances that had not yet received their appraisals or had greater clarity as to whether or not the operation might be completed or not”.

It is this last thing that they now verified as “a first irresponsible step by the mayoress”, because “before knowing their appraisals or valuations or if she had the budget for it, began to generate expectations from neighbors and officials, due to the prompt transfer of Cesfam Padre Orellana”.

However, “in any case, from the beginning we opened ourselves to the possibility of sale only because it might be negotiated not as land or real estate, but rather as a medical building as a health asset with its rights, otherwise we would never have explored that option.”

After that, San Valentino assured that there was only one instance of negotiation, a face-to-face meeting on December 20, 2022, to which they were summoned by Hassler and where “She personally led this negotiation”. In the instance, they said, the mayor offered a slightly lower price than the one finally agreed, to which they did not agree. That is why the mayoress offered the value that they did accept, of 234,124 UF.

The meeting, according to the statement, was held with the participation of Mayor Hassler and other authorities, including the Secretary of Planning; Director of Legal Advice; Health Director. “In said meeting we suggested a minute that indicates the participants and the negotiations addressed there, an issue that was referred to us as unnecessary. In view of which, due to seriousness as vendors, we require the municipality, They sent us a business closing letter to formalize with the latter what was agreed at said meeting”.

HASSLER DEFAULTS

In that sense, They pointed to a series of “non-compliances, irresponsibility and minimal lack of clarity” by the mayoress of Santiago and its equipment, which “at this point borders on total inexperience, and why not say in the bad faith of the buyer, because it intends to ignore its obligations contracted in a contract validly signed and in good faith on our part “.

And they appealed that not only they have been harmed, but also other owners, to whom the municipality had given purchase expectations.

For all that is that since San Valentino announced legal actions “intended to pursue the forced compliance of the sale, protecting our legitimate interests as sellers”.

The real estate company assured that blaming the appraisers who were hired by the municipality, separating in third parties the responsibilities that correspond mainly and personally to Mayor Hassler as the superior head of the service, “only shows, in our opinion, a lack of leadership and commitment to her own duties, teams and with their neighbors, who have generated great expectations for months associated with the opening of this facility as a health service, and quickly give dignity in the attention to the users of Cesfam Padre Orellana”.

“We believe, therefore, that what corresponds to an authority is to assume the defense of his project, correct or recognize and own the errors if there were any and not hide behind pointing fingers at those who were on his team, under his command, or in professionals that they themselves hired”.

Likewise, they discarded all the theories of fraud built, which can only be understood “in the unjustified silence that Hassler maintained during a large part of the controversy, and then the mishandling of the information provided to the media, the omissions, the little clarity and lack of proactivity on the part of your team to offer clear and conclusive answers”.
