The National Telecommunications Agency (Anatel), through its board of directors, unanimously authorized the operator Claro to incorporate the company Jonava RJ Infrastructure and Telecommunications Networks, a special purpose company (SPE).
The merged company was created by the concessionaire for the sale of Oi Móvel’s assets. The objective was to create a corporate operation and transfer the grant within the economic group. Anatel did not assess risks in the merger from a competitive standpoint.
According to the regulatory agency, the incorporation by Claro was allowed as it does not involve the entry of a new telecommunications company and as it does not change the composition of the Personal Mobile Service (SMP) market.
However, as reported by the website Tele.Síntese, Anatel imposed some conditions to carry out this incorporation, such as acOnclusion of the tariff review procedure for the full transfer of economic gains from the transfer of the grant.
Another requires proof of fiscal regularity in various public bodies. And finally, the payment of the public price charged for the transfer of grants. The deadline for this incorporation is 180 days, but it can be extended only once.
Anatel also determines to Claro that the incorporation of the SPE Jonava Infraestrutura e Redes de Telecomunicações be implemented only following the publication in the Federal Official Gazette of the grant transfer act.
It is worth remembering that Oi Móvel was sold to operators Claro, Vivo and TIM. The process was completed in April 2022, when Anatel and the antitrust body, Cade, granted the endorsement for the deal, which had the amount of BRL 14.4 billion already paid.
