INTERFAX.RU – The bankruptcy trustee of Otkrytie Holding, Maria Bulatova, filed an application to jointly and severally recover 9.75 billion rubles in losses from LUKOIL shareholders Vagit Alekperov and Leonid Fedun, as well as four companies, according to a message on Fedresurs.
The bankruptcy trustee demands to recover damages from the Cypriot Gatecraft Limited, JSC Capital, LLC Reserve Invest and JSC Private Assets.
Until 2017, Otkritie Holding was one of the largest financial holdings in the Russian Federation. In 2017, the company’s main asset, Otkritie Bank, as well as Trust Bank, which it was rehabilitating, came under the control of the Central Bank, which seriously worsened the financial position of the holding.
On July 19, 2022, the court declared Otkritie Holding bankrupt. As of this date, the register of its creditors includes claims in the amount of more than 920 billion rubles. The largest creditor is Trust Bank, the amount of Otkritie Holding’s debt to which is regarding 450 billion rubles.
Fedun and Alekperov were co-owners of Otkritie Holding. In addition, in 2017, shortly before the emergence of financial problems, the holding bought shares of the diamond miner AGD from LUKOIL for $1.45 billion. In 2020, the Federal Antimonopoly Service (FAS) demanded that the deal be reversed, since Otkritie Holding The company hid from the department information regarding the presence of foreign citizenship among three of its shareholders. In addition, according to the FAS, the transaction price was doubled. Considering that the main asset of the holding at that time was the Otkritie bank, which went into reorganization a few months following the transaction, the disputed transaction might cover the withdrawal of bank funds in favor of the beneficiaries of the holding with foreign citizenship, the FAS considered. The trial lasted more than two years and ended in July 2020 with the conclusion of a settlement agreement, the essence of which was not disclosed, since, according to the participants in the trial, the final court hearing was held behind closed doors.
In September of this year, the holding’s bankruptcy trustee and LUKOIL entered into a settlement agreement in the case of collecting the “difference” from the oil company on a controversial deal with AGD. Bulatova in court asked to apply the consequences of partial invalidity (a number of transactions in 2016-2017 – IF) in the form of a recovery of 12.05 billion rubles from LUKOIL. At this amount, the bankruptcy trustee of Otkritie Holding estimated the difference between the funds provided by Otkritie Holding to Lakover Trading Limited under loan agreements dated May 17 and 23, 2017, and the cost of acquired claims under them. The trial, at the request of the parties to the dispute, was held behind closed doors. According to the bankruptcy trustee, on September 18, the proceedings in the case were terminated due to the approval of the settlement agreement.
